What is the purpose of this agreement?
With the framework agreement for software development the parties agree on the general principles under which the developer will develop a certain software to the client or performs additional development works to already existing software. It is a framework agreement where the main rights, obligations, liabilities and payment terms are agreed, while the specific activities, their aims, schedules, exact fees etc. are agreed upon in separate annexes to the agreement. There may be only a single such annex, but there can also be several - one for each development work or stage.
What is intellectual property?
Intellectual property includes the results of creative work that can be legally protected and which can be the objects of transactions and can be defended in accordance with the law. Intellectual property includes the rights related to:
- literature and artwork and science works,
- performance of works by presentation artists, phonograms, radio and TV broadcasts,
- inventions in all areas of human activities,
- scientific discoveries,
- industrial designs,
- trademarks, service features, commercial names and markings,
- protection against unfair competition,
and all other rights deriving from intellectual activities in the areas of industry, science, literature and art.
Which intellectual property rights are transferred under this agreement?
In this agreement the parties can choose whether the developer will transfer to the client all intellectual property rights related to the development works and their results created during the cooperation, or only part of these, or none at all
